In the recent lawsuit filed by Elon Musk against OpenAI, CEO Sam Altman, and President Greg Brockman, key terms such as “nonprofit” appear 17 times, “board” 62 times, and “AGI” a striking 66 times.

The lawsuit alleges breach of contract, breach of fiduciary duty, and unfair competition, centering on the assertion that OpenAI prioritized profits and commercial interests in developing artificial general intelligence (AGI) over its nonprofit mission to serve the public good under its nonprofit board.

This legal conflict gained traction following Altman's abrupt firing by the board on November 17, 2023. The decision sparked intense backlash from investors, including Microsoft, and prompted numerous OpenAI employees to express solidarity with Altman, leading to his swift reinstatement and the dismissal of several board members.

Critics point out that Musk, a co-founder of OpenAI who now competes with its initiatives through his startup X.ai, may lack objectivity. However, the pressing question remains: How did governance issues related to AGI ignite this legal firestorm?

OpenAI’s Nonprofit Structure Under Scrutiny Again

The lawsuit details OpenAI's origins: Musk, Altman, and Brockman founded the nonprofit AI lab in 2015 with the goal of developing AGI “for the benefit of humanity, not for-profit motives.” However, Musk claims that by 2023, Altman and Brockman had disregarded this founding agreement, committing “flagrant breaches” during the aftermath of Altman’s firing and subsequent reinstatement.

OpenAI's unique nonprofit and capped-profit structure complicates matters.
