Zoom Faces Legal Entanglement Over Customer Data Usage for AI Training Models

Three years ago, Zoom reached a settlement with the FTC over allegations of deceptive marketing related to its security claims, particularly regarding encryption strength. Now, the videoconferencing platform faces similar scrutiny in Europe, specifically concerning privacy terms in its small print.

The controversy began when a clause added to Zoom’s terms and conditions in March 2023 caught the public's attention. A Hacker News post highlighted this clause, suggesting that it enabled Zoom to utilize customer data for training AI models “with no opt-out” option. This report by Stack Diary first drew attention to the implications of these changes in Zoom's T&Cs, leading to outrage across social media platforms.

Upon closer examination, some experts suggested that the "no opt-out" clause pertains only to “service-generated data” (such as telemetry and product usage data), rather than all content shared by Zoom users during their interactions on the platform. Nonetheless, users expressed frustration. Meetings are already challenging enough, without the concern that their input might be repurposed for AI training, potentially jeopardizing their jobs in an increasingly automated future.

The controversial clauses from Zoom’s T&Cs are numbered 10.2 through 10.4. The final line, highlighted in bold, stresses the consent requirement associated with processing “audio, video, or chat customer content” for AI training. This follows a lengthy text in which users grant Zoom broad permissions concerning other types of usage data and non-AI related purposes.

Amid the growing customer backlash, Zoom issued an update clarifying its stance in conjunction with its blog post, asserting that it will not use audio, video, or chat customer content for training its artificial intelligence models without obtaining consent. However, the language of the blog—and the surrounding commentary—often felt convoluted and failed to mitigate user concerns about data utilization. Instead, the communication seemed to blur critical issues, which can raise suspicions about transparency.

A spokesperson reiterated Zoom’s position: “Per the updated blog and clarified in the ToS — We’ve further updated the terms of service (in section 10.4) to clarify/confirm that we will not use audio, video, or chat Customer Content to train our artificial intelligence models without customer consent.”

In Smita Hashim's blog post, Zoom elaborates on how it supposedly gathers consent, showcasing a series of menus for account holders and a notification that allegedly appears to meeting participants when the AI-driven Meeting Summary feature is enabled by an administrator. Yet, there appears to be ambiguity. For instance, the blog suggests that account holders "provide consent," implying that consent can be delegated by an admin, leaving meeting participants with mere notifications rather than a genuine opportunity to opt out.

EU regulations stipulate that consent must be specifically requested from individuals if it serves as the legal basis for processing personal data. The ePrivacy Directive also mandates confidentiality in electronic communications unless user consent is obtained for interception. Therefore, Zoom must consider these regulations before proceeding with any data use.

Despite claiming otherwise, Zoom's communications often hint that participants may feel obliged to agree to data-sharing due to the lack of alternative options. There is an inherent conflict between an admin's control over data-sharing settings and the individual rights of meeting participants. Moreover, if Zoom's notification merely informs users rather than seeking explicit consent, it risks non-compliance with data protection laws.

Zoom cannot shift the responsibility to its users to navigate its consent process. The design of its interface, which pre-checks consent boxes for admins, could lead individuals to accidentally agree to data-sharing provisions without adequately understanding the implications.

In light of these concerns, Simon McGarr, a solicitor from Dublin, contends that Zoom's focus on obtaining consent is misleading. He believes Zoom relies on a different legal basis, namely the performance of a contract, for processing data, which may not encompass non-essential uses like AI training.

According to McGarr, Zoom's approach merges U.S. and EU legal frameworks, neglecting essential EU principles around data subject rights. By treating data ownership as central to its terms, Zoom misunderstands critical distinctions under EU law—a perspective that could lead to substantial legal missteps.

Pressing the company for clarification on its legal basis for processing AI training data, media received vague responses, with little clarity on whether Zoom acknowledges the complexities of personal data classification.

Ultimately, any data processing, especially for AI training in Europe, necessitates clear, informed, and freely given consent. While searching for competitive advantages in the burgeoning generative AI landscape, Zoom may need to recalibrate its approach to compliance in light of evolving technologies and regulatory environments.

As the demand for virtual meetings decreases post-pandemic, Zoom faces increasing competition from major players like Google and Microsoft. If Zoom's practices raise public ire, they might trigger intensified scrutiny from European regulators, potentially complicating its ability to navigate the complex landscape of data protection laws.
